Business terms

Requests360 business subscription terms

These are business-to-business terms for Requests360. They apply when an order form, proposal or written subscription confirmation from Flevanta Origins Ltd refers to them. Visiting the website or public demo alone does not create a paid customer contract.

Draft · Effective 28 October 2026 · Flevanta Origins Ltd, trading as Forge4Biz

1. Parties and business use

The supplier is Flevanta Origins Ltd, trading as Forge4Biz. The customer is the organisation identified in the applicable order form or written subscription confirmation. Requests360 is supplied for business use. The customer confirms it is acquiring the service in the course of business and that the person accepting an order has authority to bind it.

2. The service

We provide access to the Requests360 features, user limits, support arrangements and subscription period stated in the order. Product documentation and demonstrations describe the service but do not override the agreed order. We may improve, secure or maintain the service provided that we do not materially remove paid core functionality during a current subscription without a reasonable alternative or remedy.

Features labelled preview, beta, experimental or not activated are not part of the paid production commitment unless the order expressly says otherwise. Inbound email, automated acknowledgements and AI routing are not included until specifically activated and documented.

3. Customer responsibilities

The customer is responsible for its users, the accuracy and lawfulness of information entered into the service, assigning appropriate roles and permissions, and giving its staff and external contacts any privacy information required for the customer's own processing. The customer must not use Requests360 unlawfully, attempt to bypass access controls, interfere with the service, upload malware, or use another customer's account or data.

Unless separately agreed in writing, the customer must not use the service to store passwords, payment-card data, biometric data, health records, criminal-offence data or other special-category personal data. The customer must not use the service for decisions that have legal or similarly significant effects on individuals solely by automated means unless that use has been separately reviewed and agreed.

4. Accounts and security

Users must keep credentials confidential and use reasonable account-security practices. The customer must promptly tell us about suspected unauthorised access. We may temporarily restrict an account or feature where reasonably necessary to contain a security incident, prevent abuse, comply with law or protect other customers, and will restore normal access when the reason for restriction is resolved.

5. Charges, invoicing and taxes

Charges, billing frequency and payment terms are stated in the order. Flevanta Origins Ltd is not VAT-registered, so no VAT is charged. If we become VAT-registered we will tell you in writing before VAT is added to future invoices. Late or unpaid undisputed amounts may result in reasonable suspension after notice.

6. Customer data and data protection

The customer retains its rights in information it submits to the service. We process customer workspace personal data only to provide, secure and support Requests360 and as otherwise instructed or legally required. The Requests360 Data Processing Agreement forms part of the customer agreement whenever Flevanta acts as processor.

The customer authorises the subprocessors listed on our current Requests360 subprocessor page subject to the Data Processing Agreement. We do not sell customer workspace content or use it for advertising.

7. Intellectual property

Flevanta Origins Ltd and its licensors retain all rights in Requests360, its software, branding, documentation and general know-how. The subscription gives the customer a limited, non-exclusive, non-transferable right for its authorised users to use the service during the subscription period. Feedback may be used to improve the service provided we do not disclose customer confidential information.

8. Confidentiality

Each party must protect the other party's confidential information with reasonable care and use it only for the agreement. Confidential information does not include information that is lawfully public, already known without restriction, independently developed, or lawfully received from another source. A party may disclose confidential information where required by law, where legally permitted giving prior notice where practicable.

9. Availability, support and changes

We aim to provide a reliable service but do not promise uninterrupted or error-free availability unless an order includes a specific service level. Planned maintenance and events outside reasonable control may affect availability. We will use reasonable care and skill in providing the service and support described in the order.

10. Term and termination

The subscription begins and renews as stated in the order. Either party may terminate for a material breach that is not remedied within a reasonable written cure period, normally 30 days where the breach can be remedied. We may terminate or suspend immediately for unlawful use, serious security abuse or where continuing the service would be illegal.

On termination, access ends and customer data is handled under the Data Processing Agreement. Accrued payment obligations and clauses intended to survive termination remain effective.

11. Liability

Liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, and for anything that cannot be limited by law, is not limited or excluded. Subject to that, neither party is liable for indirect or consequential loss, loss of profit, revenue, anticipated savings or business opportunity arising from the agreement.

Unless the order expressly provides a different cap, each party's total aggregate liability for all claims arising in any contract year (each 12-month period from the start of the subscription) is limited to the greater of (a) the fees paid or payable for Requests360 in the 12 months before the first claim in that contract year and (b) £1,000. Instead of that cap, each party's total aggregate liability in any contract year for breach of its data-protection obligations, including the Data Processing Agreement, is limited to the greater of (a) twice the fees paid or payable for Requests360 in the 12 months before the first such claim in that contract year and (b) £2,500. These caps do not apply to the liabilities described in the previous paragraph and do not limit the customer's obligation to pay valid charges.

12. General

Neither party may assign the agreement without the other's consent, not to be unreasonably withheld, except as part of a genuine corporate reorganisation or sale of substantially all relevant business assets with appropriate safeguards. If a provision is unenforceable, the remainder continues. Delay in enforcing a right is not a waiver. The order, these terms and the Data Processing Agreement form the entire agreement for the subscribed service unless the parties expressly agree otherwise in writing.

These terms and the customer agreement are governed by the law of England and Wales and the courts of England and Wales have exclusive jurisdiction, unless the parties agree otherwise in the order.
